BasedMining (“BasedMining,” “we,” “us,” “our”) provides the BasedMining Bitcoin mining pool and hashpower rental NFT service and related services (described below) to you (“you” or “User”) through its website located at https://basedmining.xyz/ and any other website or service that we own or control (collectively, the “BasedMining Service”), subject to the following Terms of Service (as amended from time to time, the “Terms”). By connecting a digital wallet to the BasedMining Service, minting a BasedMiners NFT, or otherwise using or accessing the BasedMining Service, you acknowledge that you have read and agree to these Terms. The Privacy Policy and all such additional terms, guidelines, and rules as set forth on the BasedMining Service are hereby incorporated by reference into these Terms and expressly agreed to and acknowledged by the User. PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST BASEDMINING ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW. We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the BasedMining Service will be effective immediately. Your continued use of the BasedMining Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

1) What is the BasedMining Service?

a) BasedMining Explained

The BasedMining Service is a Bitcoin mining pool that allows Users to participate in Bitcoin block mining through various means. Users may connect Bitcoin mining hardware directly to our pool (“Pool Miners”), or acquire utility NFTs (“BasedMiners NFTs”) that provide access to hashpower during designated mining events called Block Parties (“NFT Holders”). Pool Miners and NFT Holders are both Users. For further information regarding the BasedMining Service, please visit the documentation page located at https://docs.basedmining.xyz/.

b) No Securities; No Investment Advice; No Guaranteed Outcomes

The BasedMiners NFTs and any related digital assets about which information may be provided on the BasedMining Service are utility tokens that provide access to Bitcoin mining hashpower during Block Party events. They are not viewed by us as securities under U.S. laws or relevant applicable laws. The BasedMining Service involves participation in Bitcoin block mining, which is a probabilistic activity. No outcome is guaranteed. Block discovery is inherently uncertain and depends on numerous factors outside our control, including but not limited to the total Bitcoin network hashrate, network difficulty, random variance, and the duration and quality of hashpower provided. Users acknowledge that they may participate in any number of Block Parties without any block being found. Hashpower estimates, expected durations, and any projections provided are illustrative only and not guarantees. Nothing on the BasedMining Service constitutes financial, legal, tax, or investment advice. Users are solely responsible for assessing the risks of participation.

2) How do I use BasedMining?

a) Connecting your Wallet

In order to use the BasedMining Service as an NFT Holder, you must connect a self-custodial digital wallet that supports the Base network and the relevant payment tokens (“Digital Wallet”). Pool Miners connect to the BasedMining Service by pointing Bitcoin mining hardware to our stratum endpoint with a Bitcoin address as the worker username. You are solely responsible for the security of your Digital Wallet, your private keys, your seed phrases, and any Bitcoin or other digital assets associated with them.

b) Block Parties

Each minted BasedMiners NFT entitles the holder at the time of activation to participate in a Block Party. The duration, hashpower, and other technical parameters of each Block Party are subject to change without notice and depend on market conditions for hashpower at the time of activation. We make no representation or warranty regarding the specific hashpower or duration any given NFT will receive.

c) Payouts

In the event a Bitcoin block is found by the pool, payouts will be distributed according to the rules in effect at the time of the block discovery, as described on the BasedMining Service. Payouts may be made in Bitcoin, cbBTC, or other digital assets at our discretion. The finder of a block receives a portion of the block reward directly via Bitcoin consensus rules. The pool’s portion is distributed proportionally to active participants based on contributed work during the round. You acknowledge that on-chain payouts are final and irreversible.

d) No Refunds

All transactions on the BasedMining Service are final. Due to the irreversible nature of blockchain transactions, we do not offer refunds for NFT mints, hashpower allocations, or any other purchases made through the BasedMining Service.

e) Modifications to the BasedMining Service

We reserve the right to modify, pause, or discontinue, temporarily or permanently, the BasedMining Service (or any part thereof), including any individual Block Party, with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the BasedMining Service, including any failure to find a block, any delay in payouts, or any operational interruption.

3) What are the rules for using BasedMining?

When using the BasedMining Service, you will not directly or indirectly:
  • engage in deceptive, manipulative, or illegal activities in any way;
  • email, upload, or otherwise distribute any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to do so under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person or entity; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable (including any sexual depictions of minors); or (vii) in the sole judgment of BasedMining, is objectionable or which restricts or inhibits any other person from using or enjoying the BasedMining Service, or which may expose BasedMining or its Users to any harm or liability of any type;
  • interfere with or disrupt the BasedMining Service or servers or networks connected to the BasedMining Service in any manner that could negatively affect or inhibit other Users from fully enjoying the BasedMining Service or that could damage, disable, overburden or impair the functioning of the BasedMining Service in any manner;
  • disobey any requirements, procedures, policies or regulations of networks connected to the BasedMining Service;
  • violate any applicable local, state, national or international law, or any regulations having the force of law, including but not limited to the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), or which would involve proceeds of any unlawful activity;
  • impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • harvest or collect contact information of other Users from the BasedMining Service by electronic or other means for the purposes of sending unsolicited communications;
  • further or promote any criminal activity or enterprise or provide instructional information about illegal activities, including for the purpose of concealing economic activity, laundering money, or financing terrorism;
  • obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the BasedMining Service;
  • use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the BasedMining Service or to collect information about its Users for any unauthorized purpose;
  • access or use the BasedMining Service to carry out financial activities subject to registration or licensing, including but not limited to creating, listing, or buying securities;
  • access or use the BasedMining Service for the purpose of creating a product or service that is competitive with any of our products or services.

4) BasedMining Service Content, Software, and Trademarks

You acknowledge and agree that the BasedMining Service may contain content or features (“BasedMining Service Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by BasedMining, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the BasedMining Service or the BasedMining Service Content, in whole or in part. In connection with your use of the BasedMining Service you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by BasedMining from accessing the BasedMining Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking. Any use of the BasedMining Service or the BasedMining Service Content other than as specifically authorized herein is strictly prohibited. The BasedMining and BasedMiners names and logos are trademarks and service marks of BasedMining. Other company, product, and service names and logos used and displayed via the BasedMining Service may be trademarks or service marks of their respective owners. Nothing in these Terms or the BasedMining Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of our trademarks without our prior written permission. NFT Artwork License — CC0. The artwork associated with BasedMiners NFTs is stored on-chain and dedicated to the public domain under the Creative Commons Zero (CC0 1.0) Universal Public Domain Dedication. This means NFT holders, secondary-market buyers, and the general public are all free to copy, modify, remix, distribute, display, and use the artwork for any purpose — including commercial use — without permission, payment, or attribution. We retain no copyright interest in the underlying artwork itself. For clarity, this CC0 dedication applies solely to the artwork; trademarks and service marks (including the BasedMining and BasedMiners names and logos) are addressed in the paragraph above and are not part of this dedication.

5) Fees and Taxes

Fees. Pricing for BasedMiners NFTs and any other paid features of the BasedMining Service is set forth on the BasedMining Service and may be updated from time to time. Prices may be denominated in U.S. Dollars and converted to relevant cryptocurrencies at prevailing exchange rates at the time of transaction. Taxes. Users are solely responsible to pay any and all sales, use, value-added, income, capital gains, and other taxes, duties, and assessments now or hereafter claimed or imposed by any governmental authority, associated with your use of the BasedMining Service, including any block payouts received.

a) Indemnity and Release

To the extent permitted under applicable law, you agree to release, indemnify and hold BasedMining and its affiliates and their officers, employees, directors and agents (collectively, “Indemnitees”) harmless from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the BasedMining Service (including but not limited to your participation in any Block Party, NFT mints, transfers, or other activities), your connection to the BasedMining Service, your violation of these Terms, or your violation of any rights of another. You further agree that BasedMining shall have control of the defense or settlement of any third party claims. To the extent permitted under applicable law, you hereby waive any statute or doctrine that would operate to limit any release with respect to unknown claims.

b) Disclaimer of Warranties

Use of the BasedMining Service involves operations that utilize experimental blockchain technologies and Bitcoin mining, both of which are inherently risky. Users acknowledge and agree that such technologies are experimental, speculative, and inherently risky and may be subject to bugs, malfunctions, timing errors, hacking and theft, hashpower marketplace failures, third-party service disruptions, or changes to the protocol rules of the applicable blockchain (i.e., “forks”), which can adversely affect a User’s experience and may expose you to a risk of total loss or forfeiture of your digital or fiat currency. YOUR USE OF THE BASEDMINING SERVICE IS AT YOUR SOLE RISK. THE BASEDMINING SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT BASEDMINING AND ALL INDEMNITEES WILL HAVE NO RESPONSIBILITY OR LIABILITY TO YOU IF YOU ARE UNABLE TO LOCATE OR USE YOUR WALLET OR CREDENTIALS. BASEDMINING EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. BASEDMINING MAKES NO WARRANTY THAT (I) THE BASEDMINING SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE BASEDMINING SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE BASEDMINING SERVICE (INCLUDING WHETHER ANY BITCOIN BLOCK WILL BE FOUND OR ANY PAYOUT WILL BE RECEIVED) WILL BE ACCURATE, RELIABLE, OR GUARANTEED, OR (IV) THE QUALITY OF ANY PRODUCTS, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE BASEDMINING SERVICE WILL MEET YOUR EXPECTATIONS.

c) Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT BASEDMINING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF BASEDMINING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE BASEDMINING SERVICE; (II) THE FAILURE TO FIND A BITCOIN BLOCK OR RECEIVE ANY PAYOUT; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE BASEDMINING SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE BASEDMINING SERVICE. IN NO EVENT WILL BASEDMINING’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID BASEDMINING IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

d) Beta and Experimental Services

The BasedMining Service is offered while still in development. Features may be added, removed, or modified at any time. The BasedMining Service may contain bugs, errors, and other problems. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE BASEDMINING SERVICE, INCLUDING ANY DAMAGE TO ANY EQUIPMENT, SOFTWARE, INFORMATION OR DATA. We are not obligated to provide any maintenance, technical, or other support for the BasedMining Service. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE BASEDMINING SERVICE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE BASEDMINING SERVICE.

7) Termination Rights

You agree that BasedMining, in its sole discretion, may suspend or terminate your access to the BasedMining Service for any reason, including, without limitation, for lack of use or if BasedMining believes that you have violated or acted inconsistently with the letter or spirit of these Terms. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination may be referred to appropriate law enforcement authorities. BasedMining may also in its sole discretion and at any time discontinue providing the BasedMining Service, or any part thereof, with or without notice.

8) User Disputes

You agree that you are solely responsible for your interactions with any other Users in connection with the BasedMining Service and BasedMining will have no liability or responsibility with respect thereto. These Terms constitute the entire agreement between you and BasedMining with respect to your use of the BasedMining Service and govern your use of the BasedMining Service, superseding any prior agreements between you and BasedMining with respect to the BasedMining Service. You also may be subject to additional terms and conditions that may apply when you use other BasedMining, Affiliate, or third party services, third party content or third party software. These Terms will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions.

10) Your Privacy

At BasedMining, we respect the privacy of our Users. For details please see our Privacy Policy, which forms a part of these Terms and informs Users of our data collection practices. By using the BasedMining Service, you consent to our collection and use of personal data as outlined therein.

11) Dispute Resolution By Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. Agreement to Arbitrate. This Dispute Resolution by Binding Arbitration section is referred to in these Terms as the “Arbitration Agreement.” You agree that any and all disputes or claims that have arisen or may arise between you and BasedMining, whether arising out of or relating to these Terms (including any alleged breach thereof), the BasedMining Service, any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify. Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You agree that, by entering into these Terms, you and BasedMining are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. Prohibition of Class and Representative Actions and Non-Individualized Relief. YOU AND BASEDMINING AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND BASEDMINING AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S). Pre-Arbitration Dispute Resolution. BasedMining is always interested in resolving disputes amicably and efficiently. Most concerns can be resolved quickly by emailing support at support@basedmining.xyz. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send the other party a written Notice of Dispute (“Notice”). The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought. If BasedMining and you do not resolve the claim within sixty (60) calendar days after the Notice is received, you or BasedMining may commence an arbitration proceeding. Arbitration Procedures. Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Consumer Arbitration Rules (collectively, the “AAA Rules”), as modified by this Arbitration Agreement. Costs of Arbitration. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential. Severability. If a court or the arbitrator decides that any term or provision of this Arbitration Agreement is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision.
